Abu Dhabi: the capital and the UAE’s largest economy

Abu Dhabi mainland companies are licensed by ADDED and can trade and contract across all seven emirates. Licensing runs through the Abu Dhabi Business Centre and the TAMM government services platform, and most activities can be fully foreign-owned.

Abu Dhabi is the seat of the federal government and home to the UAE’s energy sector and its largest sovereign investors. Much of the work here flows from government entities and their suppliers, so a local mainland licence and premises in the emirate often carry weight with clients.

Why Abu Dhabi Mainland

Abu Dhabi suits businesses that want to be close to government decision-makers, the energy sector and large industrial projects.

Seat of the federal government

Ministries, federal authorities and many government-owned companies are based here, along with the embassies.

Energy & industrial supply chains

Oil and gas, utilities and heavy industry create steady demand for contractors, suppliers and service providers with a local licence.

100% foreign ownership (most activities)

Most activities can be fully foreign-owned. A short list of strategic activities still needs UAE national participation; we check yours first.

Khalifa Port & industrial zones

Deep-water port facilities and large industrial and logistics areas support manufacturers and distributors.

Trade anywhere in the UAE

An ADDED licence lets you sell, contract and open branches in all seven emirates.

Capital & investment base

The emirate’s investment funds and its push to diversify its economy keep demand high in healthcare, tech, manufacturing and tourism.

Ideal for
  • Government & semi-government suppliers
  • Oil, gas & energy services
  • Construction & engineering
  • Healthcare providers
  • Industrial & manufacturing businesses

Legal Structures Under ADDED

The usual federal company forms are all available. Foreign groups working on Abu Dhabi projects often start with a branch.

01

Limited Liability Company (LLC)

The usual choice for trading and commercial activities, with one or more shareholders and liability limited to capital.

02

Sole Establishment

A single owner trading in their own name, common for professional and service activities.

03

Civil Company

A partnership for licensed professionals such as engineers, consultants and other specialists.

04

Branch of a Foreign Company

An overseas company operating under its own name, with the parent liable for the branch.

05

Private Joint Stock Company

For larger ventures with several shareholders and plans to raise capital.

06

Branch of a UAE or Free Zone Company

An existing UAE company, including a free zone company, opens a mainland branch to trade outside its zone under its own name.

How a Abu Dhabi Mainland Company Is Formed

We run each step with ADDED and the other Abu Dhabi authorities for you.

  1. 01

    Confirm the Business Activity

We match your business to ADDED’s activity list and check whether it needs approval from another authority. Healthcare, education, food and energy-related activities often do.

  2. 02

    Choose the Legal Structure

LLC, sole establishment, civil company or branch, chosen to fit your shareholders and liability.

  3. 03

    Reserve the Trade Name

We submit your name options to ADDED under UAE naming rules.

  4. 04

    Get Initial Approval

ADDED approves the activity and ownership in principle.

  5. 05

    Sign the MoA

We draft the Memorandum of Association and arrange notarisation.

  6. 06

    Lease Your Premises

You lease office or industrial space and the tenancy is registered through Tawtheeq. Your premises decide how many visas you can apply for.

  7. 07

    Licence Issued

ADDED issues the trade licence. We then open your establishment card, process visas and prepare the bank application.

Documents Required for Abu Dhabi Setup

What we need depends on whether each shareholder is a person or a company. Documents issued abroad must be notarised and attested for use in the UAE; we arrange this for you.

Individual Shareholders

  • Passport copy of each shareholder and manager
  • UAE visa or entry stamp, if any
  • Emirates ID, if resident in the UAE
  • Passport-size photo
  • Three trade name options
  • Proof of home address

Corporate Shareholders

  • Certificate of incorporation or trade licence
  • Memorandum & Articles of Association
  • Board resolution approving the Abu Dhabi company
  • Certificate of good standing
  • Passport copy of the appointed manager
  • Ultimate beneficial owner (UBO) declaration

Tax & Compliance Position: Abu Dhabi Mainland

Abu Dhabi mainland companies follow the standard UAE Corporate Tax and VAT rules. What changes between emirates is fees, rent and approvals, not tax.

UAE Corporate Tax

9% above AED 375,000 · 0% below

Every mainland company registers for Corporate Tax and files a return within nine months of its financial year end. Small Business Relief can apply to resident businesses with revenue up to AED 3 million for tax periods ending on or before 31 December 2026.

Need 0% on qualifying income? The Qualifying Free Zone Person regime only applies to free zone companies, not mainland. If it matters for your model, compare a free zone such as IFZA or RAKEZ.
UAE VAT

5% standard rate · standard VAT rules

Registration is mandatory once taxable supplies pass AED 375,000 in 12 months and optional from AED 187,500. Returns are usually filed quarterly.

Not a designated zoneDesignated zone VAT treatment only applies inside certain free zones, never to mainland companies.

Ongoing Compliance Obligations

  • Corporate Tax return within 9 months of year end
  • VAT returns once registered
  • Annual trade licence renewal with ADDED
  • Sector permits renewed where your activity needs them
  • Audited financial statements where required
  • UBO register kept up to date

I came to TMFS with a business idea and very little idea of how UAE setup worked. They recommended the right free zone for my activity, handled the licence paperwork, and had my company registered within a week. What impressed me most was the banking. They prepared my bank application alongside the licence, so my business account was opened soon after instead of dragging on for months. One team, one point of contact, and no surprises on cost.

RM
Rahul MenonFounder, E-commerce Start-up

Keeping up with VAT and the new Corporate Tax rules was taking time away from running the business. TMFS took over our bookkeeping, registered us for Corporate Tax and now files our VAT returns every quarter, always ahead of the deadline. Their team explains what is due and why in plain language, and our accounts are finally clean and audit-ready. It is one less thing I have to worry about.

Sarah WhitfieldDirector, Trading Company

TMFS handled my investor visa and then my wife's and children's family visas, and the whole process was far smoother than I expected. They told us exactly which documents we needed, booked the medicals and Emirates ID appointments, and kept us updated at every step. When we later hired our first two employees, they processed those visas just as quickly. I'd trust them with any visa matter.

Abu Dhabi Mainland: Frequently Asked Questions

Common questions about ADDED licensing and setting up on the Abu Dhabi mainland.

Can I own 100% of an Abu Dhabi mainland company?
For most activities, yes. A short list of strategic activities still needs UAE national participation. We confirm the rule for your activity before anything is filed.
Do I need an office in Abu Dhabi?
Yes. You need premises in the emirate with a tenancy registered through Tawtheeq. The size of the space affects how many visas you can apply for.
Can I run an Abu Dhabi company from Dubai?
The company’s licensed premises must be in Abu Dhabi, but you can live elsewhere in the UAE and trade with customers in every emirate.
How long does Abu Dhabi mainland formation take?
With documents and premises ready, ADDED licensing usually takes days to a few weeks. Activities that need another regulator’s approval, such as healthcare, take longer.

A mainland licence is usually needed to register as a supplier with government entities. Each entity has its own vendor registration, which we can help prepare.
Can you open the company bank account?
Yes. We prepare the bank application alongside the licence and match it to the partner bank most likely to approve your profile.
