Closing a Company Without Loose Ends

A UAE company cannot simply stop trading. It must be formally liquidated: a liquidator is appointed, creditors are given notice, tax registrations are cancelled, visas and labour files are closed, and finally the licence is cancelled.

Abandoned companies keep accumulating fines, and the owners can face travel and banking problems later. We plan the closure, coordinate the liquidator, publish the required notices, deregister from VAT and Corporate Tax, close labour and immigration files and cancel the licence.

How Liquidation Works

Six steps from decision to cancelled licence.

  1. 01

    Closure Plan

We review outstanding visas, contracts, liabilities and tax registrations.

  2. 02

    Resolution & Liquidator

Shareholders resolve to liquidate and a liquidator is appointed where required.

  3. 03

    Creditor Notice

Notice published for creditors and the statutory notice period observed.

  4. 04

    Clearances

Visas cancelled, labour file closed, and VAT and Corporate Tax deregistration filed.

  5. 05

    Final Accounts

Liquidation accounts and report prepared, and the bank account closed.

  6. 06

    Licence Cancellation

Licence cancelled and the company removed from the register.

I came to TMFS with a business idea and very little idea of how UAE setup worked. They recommended the right free zone for my activity, handled the licence paperwork, and had my company registered within a week. What impressed me most was the banking. They prepared my bank application alongside the licence, so my business account was opened soon after instead of dragging on for months. One team, one point of contact, and no surprises on cost.

Keeping up with VAT and the new Corporate Tax rules was taking time away from running the business. TMFS took over our bookkeeping, registered us for Corporate Tax and now files our VAT returns every quarter, always ahead of the deadline. Their team explains what is due and why in plain language, and our accounts are finally clean and audit-ready. It is one less thing I have to worry about.

TMFS handled my investor visa and then my wife's and children's family visas, and the whole process was far smoother than I expected. They told us exactly which documents we needed, booked the medicals and Emirates ID appointments, and kept us updated at every step. When we later hired our first two employees, they processed those visas just as quickly. I'd trust them with any visa matter.

Company Liquidation: Frequently Asked Questions

Common questions about closing a UAE company.

Can I just let my licence expire?
No. An expired licence keeps accumulating fines, and unresolved visas and tax registrations can cause problems for the owners later. The company should be formally liquidated.
Do I need a liquidator?
Mainland companies generally need an appointed liquidator. Free zones have their own procedures. We confirm what applies to you.
Do I need to deregister from VAT and Corporate Tax?
Yes. Tax registrations must be cancelled, with final returns filed, before the closure is complete.
How long does liquidation take?
It depends on the authority, notice periods and how quickly clearances are obtained. Simple closures can take a few months.
What happens to employees’ visas?
They must be cancelled and final settlements paid before the labour and immigration files can be closed.
